Terms and Conditions

These are the terms (the “Agreement”) governing your attendance at and participation in any MSPGeek, Inc event (the “Event” or the “MSPGeek Events”).

By registering for the Event you agree to this Agreement, which form a binding legal contract between MSPGeek, Inc (“MSPGeek”) and the registered attendee or participant (“you”). If you are registering on behalf of another individual, it is your responsibility to ensure the person attending is aware of these terms and accepts them. By completing the registration on behalf of another individual you are warranting that you have made the attendee or participant aware of these terms and that they have accepted these terms.

  1. Attendee Requirements
    1. Admittance. Registration entitles you to admittance to the Event for which you have registered. Any and all other costs associated with attending (including without limitation travel and accommodation expenses) shall be borne solely by you.
    2. Use of Likeness. By attending the event you acknowledge and agree to grant MSPGeek the right at the Event to record, film, photograph, or capture your likeness with any media and to distribute, broadcast, use, or otherwise disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to MSPGeek includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use or disseminate the media. 
    3. Event Content. You acknowledge and agree that MSPGeek, in its sole discretion, reserves the right to change any and all aspects of the Event, including but not limited to, the Event name, themes, content, program, speakers, performers, hosts, moderators, venue, and time.
  2. Prohibited Conduct
    1. Disruptive Conduct. You acknowledge and agree that MSPGeek reserves the right to remove you from the Event if MSPGeek, in its sole discretion, determines that your presence or behavior create a disruption or hinder the Event or the enjoyment of the Event by other attendees. All MSPGeek badges are the property of MSPGeek and must be returned to MSPGeek upon request.
    2. Unsolicited Selling. Non-sponsoring attendees are strictly prohibited from soliciting business or selling products/services to attendees and exhibitors This ensures that our sponsors, who have invested in our Event, can present their offerings without undue competition. Exhibiting companies are encouraged to protect their investment and report any violations to MSPGeek. Attendees observed soliciting business in the aisles or other public spaces, or in another company’s booth, will be ejected from the Event and may be banned from future events in MSPGeek's sole discretion.
    3. Unethical/Non-Compliant Marketing. MSPGeek reserves the right to deny admission to anyone who engages in or is reputed to engage in unethical or non-compliant marketing practices.
    4. Without limiting the terms of this Agreement, in connection with each Event you must comply with the MSPGeek Events Code of Conduct, as updated by MSPGeek from time to time, attached hereto as Exhibit A (the “Events Code of Conduct”).
    5. In addition to the requirements and prohibitions set forth in this Section 2, MSPGeek may also exclude any prospective attendee from registering for or attending any Event, in MSPGeek’s sole discretion. Furthermore, MSPGeek reserves the right to cancel, in its sole discretion, any attendee’s registration upon refund of the admission fees paid to MSPGeek; provided, however, that if an attendee is cancelled for violating any prohibition or requirement set forth in this Section 2, MSPGeek may retain any and all fees paid.
  3. Fees
    1. Payment. The payment of the applicable fees for the Event is due upon registration. If such payment is insufficient or declined for any reason MSPGeek may refuse to admit you to the Event and shall have no liability in that regard.
    2. Taxes. The fees may be subject sales tax, value added tax, or other taxes and duties which, if applicable, will be charged to you in addition to the fees.
  4. Badges
    1.  Attendee badges must be worn at all times in Event areas.
    2. Once you have received your badge on site, it cannot be changed, substituted, or reissued to a different person.
    3.  For an in-person Event, an Event badge may be available for you to pick up at the designated check-in area of the Event venue during the scheduled Event dates. You will not be admitted into the Event venue without an Event badge. By allowing your badge to be scanned at an Event, you hereby authorize the operator of the badge scanner to collect and process such information. You acknowledge that if your badge is scanned by or for any sponsor or other third party with a badge scanner (each, an “Event Sponsor”), then that Event Sponsor may have access to a third-party report that includes such attendance and participation information, and also certain of your Registration Information.
    4. MSPGeek is not responsible for the privacy practices of any Event Sponsor or other third party. Please contact the Event Sponsor or third party to learn more about its practices with respect to any information that it collects. For clarity, to the extent that MSPGeek collects any Personal Data regarding your attendance or participation in the Event for MSPGeek’s use, it will be subject to MSPGeek’s Privacy Statement. If you do not wish to permit the uses and disclosures of information described in this Section, for an in-person Event do not allow any Event Sponsor or third party to scan your badge at any Event and for a virtual Event, do not attend the Event. 
  5. Changes to Events
    MSPGeek does not guarantee the attendance of any third party (including any exhibitor or speaker), or that any scheduled session, breakout, keynote or other activity will take place. MSPGeek reserves the right, including without prior notice, to make any change to an Event program or format at any time for any reason (including modification of the schedule or content of, or cancellation of, any session, breakout, keynote or other activity). MSPGeek is not responsible for, and no reimbursement will be issued in the event of, any change to an Event (including modification of the overall Event program, or the schedule or content of, or cancellation of, any session, keynote or other activity) 
  6. Security
    MSPGeek reserves the right, including without prior notice, to take any security measures it deems appropriate for the safety of attendees and participants of in-person Events. You will comply with all such security measures, including the following:
    • At all times during an in-person Event (including at any Event venue or during any Event session, keynote or other activity), you will wear your Event badge such that it is visible to other Event attendees and participants. You will not share or exchange your Event badge with any other person. Failure to comply with this requirement may result in confiscation of your Event badge and termination of your attendance or participation in the Event.
    • Bags may be checked randomly during certain hours of an in-person Event.
    • You will not leave any bags or other property unattended at any time. Unattended property may be removed
    • Items prohibited at in-person Events include: firearms and other weapons, explosives, and other hazardous materials or articles. You will not bring with you or have in your possession any such items at any time during your attendance at an in-person Event. 
  7. Affiliated Services
    MSPGeek grants you a limited, non-exclusive, non-transferable, non- sublicensable, revocable license to access and use the Services, known as “Whova”, for your legitimate business purposes, including any graphics, text, instructions, images, audio files and/or other sounds, videos, and other materials you may view on, access through, or are otherwise related to the Services (collectively, the “Content”). You may use the Services to collect information of those individuals willing to provide their information to you, or to access publicly available content inside the Services. Except as otherwise provided in these Terms of Use, the Content may not be copied, downloaded, or stored in a retrieval system for any other purpose, nor may it be redistributed, reused, or modified for any purpose, without the express written permission of MSPGeek. You agree not to:
    • Collect or record information from the Services using an automated software tool, manual methods, or any other method;
    • Use automated means to access the Services, or gain unauthorized access to the Services, or to any account or computer system connected to the Services;
    • Obtain, or attempt to obtain, access to areas of the Site, or our systems that are not intended for access by you;
    • “Flood” the Services with requests or otherwise overburden, disrupt, or harm the Services or our systems;
    • Restrict or inhibit other users from accessing or using the Services; 
    • Modify or delete any copyright, trademark, or other proprietary rights notices that appear on the Site or in the Content; 
    • Access or use the Services or Content for any unlawful purpose or otherwise beyond the scope of the rights granted herein; or
    • Broadcast, post, message or communicate through the Services any external information gathering system without the express written permission of MSPGeek, and the disclaimer on such a communication that the information collected will be used for sales and marketing purposes, as well as who their information is being sent to.
    • Share login or access to the services with any party
  8. Intellectual Property
    1. All intellectual property rights in and to the Event, the Event content, and all materials distributed at or in connection with the Event are owned by MSPGeek or the Event sponsors or speakers presenting at the Event. You may not use or reproduce or allow anyone to use or reproduce any trademarks in any Event content or in any materials distributed at or in connection with the Event for any reason without the prior written permission of MSPGeek.
    2. For the avoidance of doubt, nothing in this Agreement shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by MSPGeek, Inc or any of its affiliates; nor does this Agreement grant to you any right or license to any other intellectual property rights of MSPGeek, Inc or its affiliates, all of which shall at all times remain the exclusive property of MSPGeek, Inc and its affiliates.
  9. Disclaimer of Warranties, Limitation of Liability
    1. MSPGeek gives no warranties in respect of any aspect of the Event or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability. The Event is provided on an “as-is” basis. Neither MSPGeek nor its affiliates accept any responsibility or liability for reliance by you or any person on any aspect of the Event or any information provided at the Event.
    2. Except as required by law, neither MSPGeek nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with this Agreement.
    3. The maximum aggregate liability of MSPGeek for any claim in any way connected with, or arising from, the Event or this Agreement, whether in contract, tort, or otherwise (including any negligent act or omission), shall be limited to the amount paid by you to MSPGeek under this Agreement.
    4. You agree that any and all disputes, claims and causes of action arising out of or connected with this program, shall be resolved individually, without resort to any form of class action.
  10. Survival
    All provisions of this agreement which, by their nature, should survive the termination of this agreement shall survive the execution, delivery and termination of this Agreement.
  11. General Purpose
    This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. If any term or provision of this Agreement shall be declared invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect. The rights and obligations of the Attendee under this Agreement may not be transferred, assigned, sublet or otherwise disposed of without the prior written consent of MSPGeek. The parties hereto may, by mutual agreement, amend any provision of this Agreement, and any party hereto may grant consent or waive any right to which it is entitled hereunder or any condition to its obligations hereunder, provided that each such amendment, consent or waiver shall be in writing. No waiver by either party hereto at any time of any breach by the other party hereto of, or compliance with, any condition or provision of this Agreement to be performed by such other party shall be deemed a waiver of similar or dissimilar provisions or conditions at the same or any prior or subsequent time. This Agreement shall be governed by and construed in accordance with the laws of the United States of America and the laws of the State of South Carolina, as applicable, without reference to the choice of law principles. Attendee hereby submits to the jurisdiction of the state and federal courts in South Carolina for all proceedings arising out of or relating
    to this Agreement and waives any objection to the propriety or convenience of venue in such courts. This Agreement shall not create, nor shall it be represented by either party to create a partnership, joint venture, employer-employee, master-servant, principal-agent, or other relationship whatsoever between the parties hereto. Neither party hereto shall have, nor represent to have, authority or power to obligate or bind the other party hereto by contract, agreement, warranty, representation or otherwise in any manner whatsoever, without the other party’s prior written consent.

 

Exhibit A

MSPGeek Events Code of Conduct

MSPGeek events are made to realize our mission to make the benefits of digital transformation accessible to small and mid-market businesses through intelligent and scalable technology, thoughtful user experiences, and unrivaled support enabling them to better serve their customers; we bring together people with a common agenda, cause, and interests, who collaborate by sharing ideas, information, and resources. It is of utmost importance to MSPGeek that each and every person attending one of our events has a positive and rewarding experience and to that end, we invite all sponsors, volunteers, speakers, attendees, vendors, and others ("Participants") to help us realize a safe, respectful, and positive experience for everyone.

MSPGeek has established this Code of Conduct to provide guidelines to Participants and to ensure that all Participants understand what behavior is expected, and what behavior will not be tolerated at our events. MSPGeek expects all Participants to abide by this Code of Conduct at all events. This includes conference-related social events at off-site locations, and in related online communities and social media. MSPGeek is dedicated to providing a harassment-free and inclusive event experience for everyone regardless of gender identity and expression, sexual orientation, disabilities, neurodiversity, physical appearance, body size, ethnicity, nationality, race, age, religion, or other protected category. Participants asked to stop any harassing behavior are expected to comply immediately.

Expected Behavior

  1. Be considerate and respectful to everyone.
  2. Refrain from demeaning, discriminatory, or harassing behavior, materials, and speech.
  3. Speak up if they observe anything at an event that conflicts with this Code of Conduct. If you are being harassed or feel uncomfortable, notice that someone else is being harassed, or have any other concerns, please contact a member of the MSPGeek event staff immediately.

Unacceptable Behavior

Unacceptable behavior includes, but is not limited to:

  1. Intimidating, harassing, abusive, discriminatory, derogatory, or demeaning speech, materials, or conduct by any Participants of the event and related event activities. Many event venues are shared with members of the public; please be respectful to all patrons of these locations.
  2. Violence, threats of violence, or violent language directed against another person.
  3. Sexist, racist, homophobic, transphobic, or otherwise discriminatory jokes and language.
  4. Personal insults, particularly those related to gender, sexual orientation, race, religion, or disability.
  5. Inappropriate photography or recording.
  6. Any boisterous, lewd, or offensive behavior or language, including but not limited to using sexually explicit or offensive language, materials or conduct, or any language, behavior, or content that contains profanity, obscene gestures, or racial, religious, or ethnic slurs.
  7. Failure to obey any rules or regulations of the event venue.

Consequences of Unacceptable Behavior

Unacceptable behavior will not be tolerated. Anyone asked to stop unacceptable behavior is expected to comply immediately. If a Participant engages in unacceptable behavior, event organizers may take any action it deems appropriate, including warning or expelling the offender from the event with no refund.

WHAT TO DO IF YOU WITNESS OR ARE SUBJECTED TO UNACCEPTABLE BEHAVIOR

If you are subjected to unacceptable behavior, notice that someone else is being subjected to unacceptable behavior, or have any other concerns, please notify event staff or email [email protected]. All reports will remain completely confidential. This Code of Conduct may be revised at any time by MSPGeek and the terms are non-negotiable. Your registration for or attendance at any MSPGeek or events indicates your agreement to abide by this policy and its terms.
